Editor Terms and Conditions

1. Acceptance of Editor Terms

By accepting an editor invitation, accessing the editing features, or using collaborative tools on PithPlay, you agree to be bound by these Editor Terms in addition to the main PithPlay Terms and Conditions.

These Editor Terms constitute a legally binding agreement between you and Artbits Solutions Ltd., a corporation incorporated under the laws of Ontario, Canada.

2. Editor Invitation and Platform Access

2.1 Invitation-Based Access

• Editor access to PithPlay is invitation-based and granted by content creators
• Editors receive access through project invitations, team invitations, or direct creator invitations
• Artbits Solutions Ltd. facilitates the invitation system but is not a party to creator-editor relationships

2.2 Platform Permissions

As an invited editor, you may access:

• Assigned projects and creative assets shared by the inviting creator
• Collaborative editing tools and real-time editing features
• Project communication systems within the platform
• Asset management tools for organizing and managing project files
• Version control and project history for assigned projects
• AI-powered editing assistance and automation tools (where available)

2.3 Scope of Access

• Your access is limited to projects and assets specifically shared with you
• Access permissions are controlled by the project owner/creator
• You may only access, edit, and download assets as explicitly permitted by the creator
• Platform access does not establish any employment or contractor relationship with Artbits Solutions Ltd.

3. Creative Assets and Intellectual Property

3.1 Creator Asset Ownership

3.2 Editor Responsibilities for Assets

As an editor working with creator assets, you must:

• Treat all creative assets as confidential and proprietary to the creator
• Use assets solely for authorized editing purposes within the assigned project
• Not download, copy, share, or distribute assets outside the platform without explicit creator permission
• Not use creator assets for personal projects or other commercial purposes
• Return or delete all assets upon project completion or termination of access

3.3 Editor Contributions and Work Product

Regarding your editing contributions:

• Your editing work, techniques, and creative input become part of the creator's project
• You retain no rights to the final edited content unless separately agreed with the creator
• Any original elements you contribute (graphics, audio, effects) are subject to the project licensing terms
• You grant creators a perpetual, worldwide license to use your editing contributions within the project context

4. Copyright, Infringement, and Content Liability

4.1 Prohibited Content

You may not use, edit, or contribute:

• Copyrighted content without proper authorization or licensing
• Content that infringes on trademark, patent, or other intellectual property rights
• Unauthorized use of music, sound effects, or audio content
• Unlicensed stock footage, images, or graphics
• Content containing unauthorized use of likeness, voice, or personal rights
• Pirated or illegally obtained materials of any kind

5. Creator-Editor Relationships and Separate Agreements

5.1 Independent Relationship Framework

Artbits Solutions Ltd. recognizes that:

• Creator-editor relationships often involve separate commercial agreements, contracts, or arrangements
• Payment terms, project scope, deadlines, and deliverables are typically agreed upon separately between creators and editors
• The platform facilitates collaboration but does not govern the commercial relationship between creators and editors

5.2 Respect for Separate Agreements

Where separate creator-editor agreements exist:

• Separate agreements take precedence over these platform terms regarding commercial aspects
• These Editor Terms govern only platform usage, technical features, and Artbits Solutions Ltd.'s role
• Platform features must be used in compliance with both these terms and any separate agreements
• Artbits Solutions Ltd. is not responsible for enforcing separate agreements

5.3 Platform Role and Limitations

Artbits Solutions Ltd.'s role is limited to:

• Providing technical infrastructure for collaboration and editing
• Facilitating asset sharing and project management tools
• Maintaining platform security and functionality
• NOT mediating disputes arising from separate creator-editor agreements
• NOT enforcing payment terms or commercial obligations between creators and editors

6. Editor Professional Standards and Conduct

6.1 Professional Quality Standards

As a platform editor, you agree to:

• Deliver work that meets industry professional standards for video editing
• Use platform tools responsibly and in accordance with their intended purpose
• Maintain confidentiality regarding all creator projects and assets
• Communicate professionally through platform messaging and collaboration tools
• Respect project deadlines and milestones as agreed with creators

7. AI-Powered Editing Tools and Assistance

7.1 AI Feature Usage by Editors

When using AI-powered editing tools:

• AI suggestions and enhancements are tools to assist your creative work, not replace professional judgment
• You remain responsible for all final editing decisions and quality control
• AI-generated content must be reviewed and approved before inclusion in projects
• Creator approval may be required for significant AI-enhanced modifications

8. Payment, Billing, and Commercial Arrangements

8.1 Platform vs. Commercial Relationships

8.2 Independent Contractor Relationship

• Editors are independent contractors in their relationships with creators
• No employment relationship exists between editors and Artbits Solutions Ltd.
• Tax obligations and legal compliance are the responsibility of individual editors
• Professional licensing and insurance requirements are editor responsibilities

9. Disclaimers and Limitations of Liability

9.1 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARTBITS SOLUTIONS LTD.'S LIABILITY TO EDITORS IS LIMITED TO:

$100 CAD OR THE PLATFORM FEES PAID BY YOU IN THE PRECEDING 12 MONTHS, WHICHEVER IS GREATER.

9.2 Excluded Damages

We shall not be liable for:

• Lost income, profits, or business opportunities from creator relationships
• Damage to professional reputation or career prospects
• Loss of creative work or editing projects
• Disputes arising from separate creator-editor agreements
• Technical failures affecting project deadlines

10. Indemnification

You agree to indemnify, defend, and hold harmless Artbits Solutions Ltd. from all claims arising from:

• Your editing work and creative contributions to creator projects
• Your breach of these Editor Terms or platform policies
• Your violation of third-party intellectual property rights through your editing work
• Your unauthorized use or distribution of creator assets
• Your breach of confidentiality regarding creator projects
• Any separate agreements between you and creators
• Claims arising from AI-enhanced content you create or approve

11. Termination and Access Revocation

11.1 Creator-Initiated Termination

• Creators may revoke your access to their projects at any time for any reason
• Access termination by creators is immediate and final
• We have no obligation to mediate creator decisions regarding editor access

11.2 Platform-Initiated Termination

We may terminate your editor access for:

• Violation of these Editor Terms or platform policies
• Unauthorized use or distribution of creator assets
• Professional misconduct or breach of confidentiality
• Security violations or suspicious account activity
• Violation of applicable laws or regulations

11.3 Effect of Termination

Upon termination of editor access:

• Your right to access creator assets ceases immediately
• You must cease all use of platform editing tools
• Confidentiality obligations survive termination indefinitely
• You must delete any locally stored creator assets (where permitted by creators)
• Ongoing creator-editor relationships continue independently of platform access

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Editor Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

12.2 Jurisdiction for Platform Disputes

For disputes between editors and Artbits Solutions Ltd.:

• Exclusive jurisdiction lies with the courts of Ontario, Canada
• Disputes must be brought individually, not as class actions
• Informal resolution will be attempted for 30 days before formal proceedings

12.3 Creator-Editor Disputes

• Commercial disputes between creators and editors are outside our jurisdiction
• Separate agreements may specify different dispute resolution procedures
• Platform-related technical disputes may be addressed through our support channels
